SECORDIT INTELLIGENCE — TERMS OF SERVICE

1. Who We Are

These Terms of Service ("Terms") govern your use of the Secordit Intelligence Ltd website at secordit.co.uk ("Site") and the purchase of any products or services offered by Secordit Intelligence ("Secordit," "we," "us," "our"), operated by Matthew Protheroe-Hill, United Kingdom.

By placing an order or accessing our Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site or purchase any products.

2. Nature of Our Services

Secordit provides regulatory horizon-scanning, compliance intelligence, and advisory services targeted at UK businesses, with a primary focus on Managed Service Providers ("MSPs") navigating the Cyber Security & Resilience Bill and related UK legislation.

All content, reports, toolkits, and briefings produced by Secordit are:

Regulatory intelligence and informational guidance only
Not legal advice, and do not constitute a solicitor-client relationship
Not a guarantee of regulatory compliance or immunity from enforcement
Subject to legislative change beyond our control

You are solely responsible for how you act upon any intelligence or guidance provided. We strongly recommend that significant compliance decisions are reviewed by a qualified solicitor or regulated compliance professional before implementation.

3. Eligibility

By purchasing from Secordit, you confirm that:

You are at least 18 years of age
You are acting in a business capacity (B2B), not as a consumer purchasing for personal use
You have the authority to bind the organisation on whose behalf you are purchasing
Your organisation is based in the United Kingdom or the European Economic Area

If you are acting outside of a business context, please be aware that some consumer protections may apply notwithstanding these Terms.

4. Products and Services

4.1 Digital Products CSRB-UPLIFT, CSRB-BRIDGE, CSRB-RESPOND, CSRB-WATCH, AISEC-PRO, and AISEC-101 are digital products delivered electronically. Ownership of a licence to use the content is granted upon purchase. You do not acquire intellectual property rights in the underlying materials.

4.2 Pulse Audit A bespoke one-off assessment service. Delivery timelines and scope are as described at point of sale. Commencement is triggered upon submission of your intake form.

4.3 The Architect Retainer A recurring monthly intelligence and advisory service. Governed by these Terms and any separate engagement letter issued at onboarding. Either party may terminate with 30 days' written notice.

5. Pricing and Payment

All prices are stated exclusive of VAT unless otherwise indicated. UK VAT at the applicable rate will be added at checkout.
Payment is processed via Shopify Payments. By completing purchase you authorise us to charge the total amount shown at checkout.
We reserve the right to change prices at any time. Price changes do not affect orders already placed.

6. Intellectual Property and Licence

All content produced by Secordit — including but not limited to reports, briefings, toolkits, templates, frameworks, and methodology — remains the exclusive intellectual property of Secordit Intelligence and Matthew Protheroe-Hill.

Upon purchase, you are granted a limited, non-exclusive, non-transferable licence to use the purchased materials internally within your own organisation, except where a product page explicitly states that the product is white-label, rebrandable, or licensed for client delivery (in which case the extended licence in Section 6.1 applies).

You may not:

Resell, sublicence, or redistribute Secordit materials to third parties
Share login credentials or product files with organisations other than your own
Reproduce Secordit content in whole or in part for commercial purposes
Remove or obscure any Secordit branding, attribution, or copyright notices (except as permitted under Section 6.1 for white-label products)
Claim authorship of Secordit intellectual property
Publish, offer, or list the underlying templates or files as standalone products or downloads in any marketplace, library, or platform

Breach of this clause may result in immediate termination of your access and licence, and Secordit reserves the right to pursue damages.

6.1 White-Label and Client-Delivery Products

Where a product page explicitly states that the product is white-label, rebrandable, or licensed for client delivery, the purchaser may customise branding and use the materials in delivering services to its own clients. The purchaser may charge its own clients for services using those materials. The purchaser may not resell, redistribute, sublicense, publish, or offer the underlying templates or files as standalone products or downloads, and may not claim authorship of Secordit intellectual property. All products not explicitly designated as white-label remain licensed for the purchaser's internal use only.

7. Confidentiality

Where Secordit receives confidential information about your organisation in the course of delivering services (including audit intake information, system details, or business context), we will treat such information as confidential and will not disclose it to third parties except where required by law.

Secordit may reference the existence of a client relationship (but not confidential details) for the purposes of case studies or testimonials, subject to your prior written consent.

8. Data Protection

Secordit processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, available at secordit.co.uk/privacy-policy, sets out how we collect, use, and protect your data.

By purchasing from us, you consent to us processing contact and organisational data as necessary to fulfil your order and provide the contracted service.

9. Limitation of Liability

To the fullest extent permitted by law:

Secordit's total aggregate liability to you in connection with any order or engagement shall not exceed the total fees paid by you in the 12 months preceding the claim
We are not liable for indirect, consequential, or special losses, including loss of profit, loss of business, regulatory fines, or reputational damage
We do not warrant that our intelligence output will be complete, error-free, or reflective of legislative changes occurring after the date of delivery
We are not liable for any loss arising from your failure to act upon, or your misapplication of, guidance provided

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

10. Disclaimers

Regulatory intelligence is provided on an "as-is" basis and reflects our interpretation of publicly available information at the time of publication
We make no warranty that any product will achieve a specific regulatory outcome
We do not provide legal, financial, or professional advice within the meaning of any regulated profession

11. Termination

We reserve the right to suspend or terminate access to any product or service without notice in the event of a material breach of these Terms, suspected fraudulent activity, or non-payment. In such cases, refunds will be assessed in accordance with our Refund Policy, subject to the notice provisions in Section 4.

12. Amendments

Secordit reserves the right to update these Terms at any time. Material changes will be communicated to active retainer clients by email with 14 days' notice. Continued use of our services after the effective date of any amendment constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
